HEALTHX CANADA INC. — TERMS OF USE

These Terms of Use (“Terms”) form a legally binding agreement between you (“you”, “User”) and HealthX Canada Inc. (“HealthX”, “we”, “us”, or “our”) governing your access to and use of our website(s), online forms, referral pages, booking-request pages, promotional pages, communications, services, and platform, including any HealthX-operated or HealthX-authorized patient engagement, marketing, referral, verification, or reward process (collectively, the “Platform”).
BY ACCESSING OR USING THE PLATFORM, SUBMITTING A FORM, BOOKING THROUGH HEALTHX, COMMUNICATING WITH HEALTHX, OR PARTICIPATING IN A HEALTHX PROMOTION, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
Nothing in these Terms limits any rights, remedies, or protections that cannot legally be waived under applicable consumer protection, privacy, health privacy, anti-spam, gift card, professional regulatory, or other laws.
- Platform Purpose and Role
HealthX provides a marketing, referral, patient engagement, and promotional platform that helps connect users with independent dental clinics, dental professionals, healthcare clinics, and other participating service providers (“Providers”).
HealthX is not a healthcare provider, dental provider, medical provider, dental office, insurer, insurance plan, dental benefit plan, treatment coordinator, or clinical advisor.
HealthX does not provide dental services, medical services, clinical advice, diagnoses, prescriptions, treatment planning, second opinions, dental benefit determinations, insurance advice, or treatment recommendations.
Any dental, healthcare, or professional services you receive are provided solely by the Provider you choose or attend.
- Provider Independence
Providers listed, promoted, referred to, or accessible through the Platform are independent businesses and/or independent regulated professionals. They are not employees, agents, partners, or joint venturers of HealthX.
HealthX does not control, supervise, or direct Providers, including with respect to:
clinical judgment;
diagnosis;
treatment decisions;
treatment planning;
consent to treatment;
fees charged by Providers;
insurance claims or co-payments;
appointment availability;
professional obligations;
billing practices;
quality of care; or
patient outcomes.
Your relationship for dental, healthcare, or professional services is directly with the Provider.
Providers remain solely responsible for complying with all applicable laws, professional standards, College rules, advertising rules, billing rules, insurance rules, and clinical obligations.
- Eligibility
You represent and warrant that:
you are at least the age of majority in your jurisdiction, or you have valid parental or guardian consent to use the Platform;
you will provide accurate, current, complete, and truthful information when using the Platform;
you will not use another person’s identity, contact information, appointment information, receipt, invoice, statement, or submission without lawful authority; and
your use of the Platform will comply with all applicable laws.
HealthX may refuse service, deny a reward, suspend access, or terminate access at any time if HealthX reasonably believes that you are ineligible, have provided inaccurate information, have submitted misleading documentation, have attempted to abuse a promotion, or have violated these Terms.
- Accounts, Communications, Consent, and Accuracy
You are responsible for maintaining accurate contact details, including your full legal name, email address, phone number, and any information required to verify booking, attendance, reward eligibility, or promotional eligibility.
By using the Platform, you consent to receive transactional, administrative, and service-related communications from HealthX electronically, including by email, SMS/text message, phone call, online form, or other electronic method. These communications may relate to booking requests, referral requests, appointment coordination, verification, customer support, reward status, fraud prevention, policy updates, or account administration. Standard message and data rates may apply.
Where HealthX sends commercial electronic messages, HealthX will comply with Canada’s Anti-Spam Legislation, including applicable consent, sender identification, and unsubscribe requirements.
You may withdraw consent to commercial electronic messages where required by law. However, HealthX may still send non-commercial, transactional, legal, service-related, reward-related, or account-related messages where permitted by law.
You are responsible for ensuring that HealthX emails and messages are deliverable to you and are not blocked, filtered, deleted, or sent to junk or spam folders.
- Booking Requests and Platform Limitations
The Platform may allow you to submit a booking request, referral request, promotional request, verification form, or other inquiry.
HealthX does not guarantee:
appointment availability;
acceptance of your booking request;
response times by Providers;
specific services;
specific prices;
insurance coverage;
approval for any promotion or reward;
clinical outcomes;
patient satisfaction; or
the availability of any Provider.
Providers may require additional information directly from you to confirm an appointment or determine whether they can provide services.
HealthX is not responsible for missed appointments, cancelled appointments, delayed appointments, Provider scheduling changes, Provider refusals, Provider closures, Provider billing decisions, or Provider clinical decisions.
- Promotions, Rewards, Verification, Uploads, Third-Party Reward Providers, and No-Combination Rule
6.1 Promotional Rewards Overview
HealthX may offer promotional incentives, including digital or physical gift cards, merchant cards, credits, referral incentives, or other rewards, to eligible users who meet the applicable promotional criteria.
Promotional rewards are marketing incentives only. They are not healthcare benefits, insurance benefits, dental benefits, medical compensation, treatment reimbursement, payment for treatment, or a substitute for professional advice.
HealthX may modify, suspend, or terminate promotional programs at any time, subject to applicable law and any reward eligibility already confirmed in writing by HealthX.
6.2 Promotion-Specific Terms
Each promotion may have additional terms, conditions, eligibility requirements, deadlines, geographic limits, clinic-specific rules, reward amounts, reward types, reward vendors, delivery methods, and verification requirements (“Promotion Terms”).
If Promotion Terms conflict with these Terms, the more specific Promotion Terms will apply, unless prohibited by law.
All material restrictions, including eligibility limits, verification requirements, and the no-combination rule, must be followed for a reward to be approved.
6.3 HealthX Role and Provider Independence
HealthX is a marketing, referral, and patient engagement platform. HealthX is not a healthcare provider, dental provider, insurer, dental benefit plan, treatment coordinator, clinical advisor, or professional regulator.
All dental and healthcare services are provided solely by independent Providers. Providers are responsible for their own clinical care, fees, treatment recommendations, informed consent processes, billing, insurance submissions, professional obligations, and regulatory compliance.
HealthX does not control, supervise, or direct clinical decisions, treatment plans, diagnostic decisions, billing decisions, insurance submissions, co-payment collection, or professional judgment.
6.4 Clinical Independence and Treatment Neutrality
Promotional rewards are not intended to influence, require, recommend, or encourage any specific dental procedure, diagnostic service, treatment plan, product, Provider, or clinical outcome.
All clinical decisions, including whether an examination, cleaning, imaging, preventive service, consultation, treatment, or other dental service is necessary or appropriate, are made solely by the treating Provider.
HealthX does not require, recommend, or incentivize unnecessary treatment.
A user’s eligibility for a HealthX reward is based on the applicable Promotion Terms and verification requirements, not on any specific clinical diagnosis, treatment recommendation, treatment plan, or clinical outcome.
6.5 Reward Eligibility Requirements
Unless otherwise stated in writing by HealthX, to qualify for a promotional reward, a user must:
be a new patient to the selected Provider;
book through HealthX or an authorized HealthX channel;
attend the required initial appointment or qualifying visit;
satisfy all applicable Promotion Terms;
provide accurate and complete information;
not cancel, charge back, refund, reverse, or dispute the qualifying visit in a way that affects eligibility;
not receive or combine the HealthX incentive with any other discount, promotion, incentive, or benefit unless expressly approved by HealthX in writing; and
have the qualifying visit and eligibility confirmed by the Provider to HealthX’s satisfaction.
A reward is not earned, approved, payable, or deliverable until HealthX has completed verification and confirmed eligibility.
6.6 No Combination With Other Discounts, Promotions, or Incentives
Unless HealthX expressly states otherwise in writing, HealthX promotional incentives cannot be combined with any other discount, promotion, coupon, rebate, gift card, clinic credit, referral reward, loyalty reward, reduced-fee offer, new-patient special, student discount, senior discount, uninsured-patient discount, family or friends discount, employer discount, third-party offer, Provider-issued promotion, marketing offer, or any other incentive or benefit.
If a Provider applies, offers, records, honours, or provides another discount, reduced-fee arrangement, promotional package, coupon, credit, write-off, special offer, or other incentive to the qualifying visit or related new-patient services, HealthX may deny, cancel, reverse, or recover the HealthX reward.
Insurance coverage, where applicable, is not considered a HealthX promotion. However, Providers remain solely responsible for complying with insurance rules, professional obligations, co-payment requirements, deductible requirements, and any applicable laws or payer policies.
HealthX rewards are separate from Provider fees and do not reduce, waive, reimburse, or replace any amount owed by the patient to the Provider.
6.7 Provider Confirmation Required
User-submitted proof, including invoices, receipts, walkout statements, statements of account, screenshots, emails, text messages, or booking confirmations, does not automatically establish reward eligibility.
HealthX may require direct confirmation from the Provider that the user attended the qualifying visit and satisfied the applicable Promotion Terms.
HealthX may deny a reward if:
the Provider does not confirm eligibility;
the Provider states that the user did not satisfy the Promotion Terms;
the Provider confirms that another discount, promotion, coupon, special offer, or incentive was applied;
the documentation is incomplete, altered, inconsistent, or unclear;
HealthX cannot verify attendance;
HealthX cannot verify new-patient status; or
HealthX reasonably believes there is fraud, misrepresentation, abuse, or legal or regulatory risk.
Provider verification may include non-clinical administrative confirmation, such as patient name, clinic name, visit date, attendance status, new-patient status, and whether the applicable visit category or promotion criteria were satisfied.
HealthX does not request clinical treatment notes, diagnostic findings, X-rays, treatment plans, medical histories, or detailed clinical records for reward verification.
6.8 New Patient and Duplicate Submission Limits
Unless otherwise expressly stated in writing by HealthX:
rewards are limited to one reward per patient;
rewards may be limited to one per household where duplicate use, fraud, or abuse is suspected;
rewards may be denied for duplicate accounts, duplicate submissions, repeated promotion use, altered records, misleading information, or other abuse; and
users who previously attended the Provider or an affiliated clinic may be ineligible.
HealthX reserves discretion to determine reward eligibility, subject to applicable law.
6.9 No Reward for Reviews, Ratings, or Testimonials
HealthX rewards are not conditional on leaving a review, rating, testimonial, social media post, endorsement, or positive feedback.
Users must not submit fake, misleading, paid, coerced, or deceptive reviews.
If a review, rating, social media post, endorsement, influencer post, or testimonial is requested, permitted, or published in connection with any campaign, all material connections must be clearly disclosed where required by law.
6.10 Professional and Regulatory Compliance
Promotions are subject to all applicable laws, regulations, and professional rules, including any rules that apply to Providers, dental professionals, advertising, conflicts of interest, gifts, inducements, patient communications, fee arrangements, billing, and insurance submissions.
A Provider may decline, cancel, modify, or refuse participation in any promotion if the Provider determines that participation may conflict with professional, regulatory, insurer, billing, or ethical obligations.
HealthX may deny, cancel, suspend, or modify a reward or promotion where HealthX reasonably believes that issuing the reward or continuing the promotion would create legal, regulatory, professional, privacy, fraud, insurance, reputational, or compliance risk.
6.11 Proof of Visit and Upload Requirements
HealthX may request proof of visit documentation showing limited administrative information, such as:
patient name;
clinic name;
visit date; and
confirmation of appointment attendance.
HealthX does not require users to upload clinical or diagnostic documentation.
Users must not upload:
dental X-rays or radiographic images;
clinical treatment notes;
treatment plans;
diagnostic reports;
medical histories;
prescription information;
insurance documents showing detailed procedure-level clinical information;
health card information; or
any other sensitive health information not specifically requested by HealthX.
HealthX may delete prohibited, unnecessary, excessive, or sensitive information if identified.
6.12 Third-Party Forms and Data Processing Providers
HealthX may use third-party form, data processing, storage, communication, fraud-prevention, analytics, and reward-fulfillment providers, including providers such as Jotform or similar vendors.
By submitting information, you acknowledge that your submission may be processed and stored by third-party service providers acting on HealthX’s behalf.
HealthX selects service providers that maintain commercially reasonable safeguards and does not authorize service providers to use submitted verification information for unrelated advertising or unrelated purposes.
6.13 Privacy, Data Minimization, and Health Information Position
HealthX collects and uses personal information only as reasonably necessary for the purposes described in these Terms and the Privacy Policy, including booking support, promotion administration, verification, fraud prevention, reward fulfillment, legal compliance, dispute handling, and customer support.
HealthX does not seek to collect clinical treatment records, diagnostic findings, radiographic images, detailed insurance records, medical histories, or treatment plans from users for reward verification.
HealthX generally operates as a marketing and technology platform and not as a health information custodian. However, where HealthX processes personal health information on behalf of a Provider or in circumstances where health privacy laws apply, HealthX will use reasonable safeguards and process such information only as permitted by law and applicable agreements.
6.14 Retention and Deletion
Verification information is retained only as long as reasonably necessary for reward verification, fraud prevention, dispute handling, tax and accounting purposes, legal compliance, and business recordkeeping.
HealthX may delete verification documents after a commercially reasonable retention period unless longer retention is required or permitted by law.
Users may contact HealthX to request access, correction, or deletion of personal information, subject to legal, fraud-prevention, recordkeeping, dispute-resolution, and compliance requirements.
6.15 Third-Party Reward Providers and Gift Card Vendors
Promotional rewards may be issued through independent third-party reward providers, merchants, or gift-card vendors.
Gift cards and other rewards are subject to the issuing vendor’s terms and conditions.
HealthX is not affiliated with, sponsored by, or endorsed by any gift-card issuer or merchant unless expressly stated.
Nothing in these Terms is intended to limit any non-waivable rights that apply to gift cards, prepaid products, or promotional cards under applicable law.
6.16 Gift Card Availability, Restrictions, and Conditions
Reward availability may vary and is not guaranteed at all times.
Any material restrictions, conditions, limits, expiry rules, or redemption requirements that apply to a HealthX reward will be stated in the applicable Promotion Terms or provided during reward fulfillment where required.
HealthX is not responsible for merchant acceptance, vendor outages, lost or deleted reward emails, unauthorized use after delivery, vendor insolvency, balance issues, replacement policies, or merchant refusal, except where required by law.
6.17 Reward Substitution Rights
HealthX reserves the right to substitute reward vendors, reward types, reward amounts of equal or comparable value, delivery methods, or fulfillment methods where reasonably necessary due to vendor availability, fraud concerns, technical error, compliance requirements, legal requirements, program changes, or other operational reasons.
6.18 No Cash Value and Transfer Restrictions
Promotional rewards have no cash value except where required by law.
Rewards may not be transferred, resold, assigned, exchanged, or redeemed for cash unless expressly permitted by HealthX in writing or required by law.
6.19 Email Delivery and Digital Fulfillment Disclaimer
HealthX is responsible only for initiating reward fulfillment through its designated reward provider after eligibility has been approved.
HealthX is not responsible for email delivery failures, spam filtering, incorrect email addresses provided by users, user mailbox storage limits, deleted reward emails, or lost reward emails after delivery.
Users are responsible for providing accurate contact information and monitoring email, junk, and spam folders.
6.20 Refunds, Chargebacks, Reversals, and Reward Clawback
If a Provider refund, payment reversal, insurance reversal, chargeback, disputed payment, cancelled visit, no-show, incomplete qualifying visit, verification issue, billing reversal, or discount adjustment occurs in relation to the qualifying visit, HealthX may:
deny reward eligibility;
cancel pending reward fulfillment;
recover or claw back an issued reward;
offset reward value against future promotions; and/or
suspend the user’s eligibility for future promotions.
6.21 Fraud Prevention and Enforcement
HealthX may request additional verification, verify information with Providers, review submissions for fraud or abuse, and deny rewards if documentation appears altered, incomplete, inconsistent, inaccurate, misleading, duplicated, or suspicious.
Submission of falsified documentation or misleading information may result in loss of reward eligibility, account suspension, refusal of future promotions, recovery of issued rewards, and legal action where appropriate.
- Advertising, Analytics, Pricing, and Marketing Compliance
HealthX may use advertising, analytics, measurement, and marketing tools to measure website usage, improve marketing performance, understand campaign effectiveness, communicate with users, and administer promotions.
HealthX does not knowingly share clinical treatment records, diagnostic findings, treatment plans, radiographic images, or detailed health information with advertising platforms for targeted advertising.
All HealthX advertising and promotional materials should be truthful, clear, and not misleading.
Where HealthX advertises a price, reward, promotion, discount, incentive, or special offer, HealthX will use reasonable efforts to disclose material conditions, including eligibility criteria, no-combination restrictions, verification requirements, deadlines, and other limits.
HealthX does not guarantee that any Provider’s fees, discounts, services, or promotions will remain available unless expressly stated in writing.
Any influencer, affiliate, clinic, contractor, marketing partner, or third party promoting HealthX must comply with applicable advertising, disclosure, privacy, anti-spam, professional, and competition laws, including disclosure of material connections where required.
- Privacy
Your use of the Platform is also subject to our Privacy Policy: [LINK TO PRIVACY POLICY].
You represent and warrant that any information you submit is accurate and that you have the right to submit it, including any required consents.
HealthX will use reasonable safeguards appropriate to the sensitivity of the information collected.
HealthX will use reasonable efforts to limit collection, use, disclosure, and retention of personal information to what is necessary for the purposes identified in these Terms and the Privacy Policy.
If you submit information about another person, you represent that you have legal authority or valid consent to do so.
- Prohibited Conduct
You agree not to:
use the Platform for unlawful purposes;
submit false, misleading, incomplete, altered, or fraudulent information;
submit fake, altered, misleading, incomplete, or fraudulent receipts, invoices, statements, screenshots, booking records, or visit records;
attempt to claim a HealthX reward while also receiving another discount, promotion, incentive, or benefit contrary to these Terms or the applicable Promotion Terms;
create duplicate accounts or use another person’s identity to obtain rewards;
attempt to gain unauthorized access to systems or accounts;
interfere with Platform security or operation;
upload prohibited content, including clinical records, X-rays, or unnecessary health information;
submit fake, misleading, paid, coerced, or undisclosed reviews, ratings, testimonials, social media posts, or endorsements;
violate any applicable laws, regulations, or professional rules;
misrepresent your relationship with a Provider, HealthX, or another user;
resell, transfer, or trade rewards unless expressly permitted by HealthX in writing;
use the Platform in a way that creates legal, professional, regulatory, privacy, insurance, reputational, or fraud risk for HealthX, Providers, or users; or
threaten, harass, abuse, defame, intimidate, or interfere with HealthX, Providers, employees, contractors, users, or third parties.
- Intellectual Property
The Platform, including all content, branding, text, graphics, logos, interfaces, designs, forms, software, workflows, business names, trade names, and other materials, is owned by HealthX or its licensors and is protected by intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works, scrape, reverse engineer, or exploit any Platform content without HealthX’s prior written consent, except as permitted by law.
Nothing in these Terms grants you any ownership interest in HealthX’s intellectual property.
- Third-Party Websites and Services
The Platform may link to or use third-party websites, tools, software, scheduling systems, form processors, reward vendors, analytics tools, communication tools, payment processors, or Provider websites.
HealthX is not responsible for third-party content, systems, outages, pricing, practices, privacy policies, terms, errors, delays, acts, or omissions.
Your use of third-party services is governed by their terms and policies.
- Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
HEALTHX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
HEALTHX DOES NOT WARRANT THAT DEFECTS WILL BE CORRECTED.
HEALTHX DOES NOT WARRANT ANY OUTCOME FROM ANY PROVIDER, DENTAL SERVICE, HEALTHCARE SERVICE, APPOINTMENT, TREATMENT, PROMOTION, OR REWARD.
HEALTHX DOES NOT GUARANTEE THAT A PROVIDER WILL ACCEPT YOU AS A PATIENT, PROVIDE ANY PARTICULAR SERVICE, CHARGE ANY PARTICULAR FEE, OR CONFIRM YOUR ELIGIBILITY FOR A PROMOTION.
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR AGGRAVATED DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHX’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, A PROMOTION, OR A REWARD WILL NOT EXCEED CAD $100 OR THE AMOUNT YOU PAID DIRECTLY TO HEALTHX IN THE LAST 12 MONTHS, IF ANY, WHICHEVER IS GREATER.
HEALTHX IS NOT RESPONSIBLE FOR PROVIDER ACTS OR OMISSIONS, PROVIDER CLINICAL DECISIONS, PROVIDER BILLING DECISIONS, PROVIDER INSURANCE SUBMISSIONS, PROVIDER COMMUNICATIONS, PROVIDER CANCELLATIONS, PROVIDER QUALITY OF CARE, OR PROVIDER PROFESSIONAL OBLIGATIONS.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
- Indemnification
You agree to defend, indemnify, and hold harmless HealthX and its directors, officers, employees, contractors, agents, affiliates, successors, and assigns from any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
your use of the Platform;
your submissions or uploads;
your violation of these Terms;
your violation of any Promotion Terms;
your violation of any law or third-party right;
your fraudulent, misleading, abusive, or unlawful conduct;
your misuse of a reward; or
your submission of prohibited, clinical, excessive, or unauthorized information.
- Suspension and Termination
HealthX may suspend or terminate your access to the Platform, deny a reward, cancel a pending reward, or restrict future promotional eligibility at any time, with or without notice, if HealthX reasonably believes:
you violated these Terms;
you violated Promotion Terms;
fraud, abuse, misrepresentation, or duplicate activity occurred;
your activity creates risk for HealthX, Providers, users, or third parties;
Provider verification cannot be obtained;
a Provider disputes eligibility;
a reward was issued in error;
a reward would create legal, professional, regulatory, insurance, privacy, or compliance risk; or
suspension or termination is required by law.
Sections intended to survive termination will continue to apply, including sections relating to intellectual property, privacy, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
- Dispute Resolution, Consumer Rights, and Governing Process
Please contact HealthX first at INFO@HEALTHXCANADA.COM so that HealthX can attempt to resolve any concern informally.
Nothing in these Terms limits any non-waivable rights or remedies you may have under applicable consumer protection, privacy, competition, gift-card, anti-spam, health privacy, professional regulatory, or other laws.
To the extent permitted by law, disputes will be handled on an individual basis. However, if applicable law gives a consumer the right to bring a court proceeding, participate in a class proceeding, avoid mandatory pre-dispute arbitration, or access a statutory complaint process, nothing in these Terms is intended to restrict those rights.
After a dispute arises, the parties may mutually agree in writing to resolve the dispute through mediation, arbitration, or another lawful dispute-resolution process.
Subject to applicable consumer protection laws and other non-waivable legal rights, the courts and tribunals of Ontario will have jurisdiction over disputes relating to these Terms, the Platform, promotions, or rewards.
- Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
If you are a consumer in a jurisdiction where mandatory local consumer protection laws apply, nothing in these Terms limits any non-waivable rights you may have under those laws.
- Changes to These Terms and Promotions
HealthX may update these Terms from time to time. Changes take effect when posted on the Platform with an updated Effective Date, unless otherwise stated or required by law.
Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
HealthX may modify, suspend, or terminate promotions at any time.
However, HealthX will not use a later change to deny a reward that was already approved in writing, except in cases of fraud, misrepresentation, duplicate activity, error, refund, chargeback, payment reversal, legal requirement, regulatory concern, Provider verification issue, or violation of these Terms or Promotion Terms.
Users are responsible for reviewing the current Terms and applicable Promotion Terms before participating in a promotion.
- Severability
If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
If any limitation, exclusion, waiver, or dispute-resolution provision is unenforceable in a particular jurisdiction, it will apply only to the extent enforceable.
- Entire Agreement
These Terms, together with any policies referenced in these Terms, including the Privacy Policy and any applicable Promotion Terms, constitute the entire agreement between you and HealthX regarding the Platform, promotions, and rewards.
These Terms supersede any prior or contemporaneous agreements, communications, representations, or understandings relating to the Platform, promotions, or rewards, unless otherwise expressly stated in writing by HealthX.
