HEALTHX CANADA INC. — TERMS OF USE

Effective Date: February 17th, 2026
These Terms of Use (“Terms”) form a legally binding agreement between you (“you”, “User”) and HealthX Canada Inc. (“HealthX”, “we”, “us”, “our”) governing your access to and use of our website(s), forms, services, and platform (collectively, the “Platform”).

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.


1. Platform Purpose and Role

HealthX provides a marketing, referral, and patient engagement platform that connects users with independent dental clinics and dental professionals (“Providers”).

HealthX is not a healthcare provider. HealthX does not provide dental services, medical services, clinical advice, diagnoses, or treatment recommendations. Any dental services you receive are provided solely by the Provider you choose.


2. Provider Independence

Providers listed or accessible through the Platform are independent businesses and are not employees, agents, partners, or joint venturers of HealthX.

HealthX does not control, supervise, or direct Providers, including with respect to:

  • clinical judgment,

  • treatment decisions,

  • fees charged by Providers,

  • appointment availability, or

  • quality of care.

Your relationship for dental services is directly with the Provider.


3. Eligibility

You represent and warrant that:

  • you are at least the age of majority in your jurisdiction, or you have valid parental/guardian consent to use the Platform; and

  • you will provide accurate, current, and complete information when using the Platform.

HealthX may refuse service, suspend, or terminate access at any time if we reasonably believe you are ineligible or have violated these Terms.


4. Accounts, Communications, and Accuracy

You are responsible for maintaining the accuracy of your contact details, including your email address and phone number.

By using the Platform, you consent to receive communications from HealthX electronically (including email and SMS/text where applicable), such as booking-related messages, support messages, and reward-related messages. Standard message and data rates may apply.

You are responsible for ensuring HealthX emails are deliverable to you and not blocked or filtered.


5. Booking Requests and Platform Limitations

The Platform may allow you to submit a booking request or referral request. HealthX does not guarantee:

  • appointment availability,

  • acceptance of your booking request,

  • response times by Providers,

  • specific services or pricing, or

  • outcomes of any dental visit.

Providers may require additional information directly from you to confirm an appointment.


6. Promotions, Rewards, Verification, Uploads, and Third-Party Reward Providers

6.1 Promotional Rewards Overview

HealthX may offer promotional incentives, including digital or physical gift cards, to eligible users who meet applicable promotional criteria.

Promotional rewards are marketing incentives only and are not healthcare benefits, insurance benefits, or compensation for dental services.

HealthX reserves the right to modify, suspend, or terminate any promotional program at any time.

6.2 Clinical Independence and Treatment Neutrality

HealthX is a marketing and referral platform and is not a healthcare provider.

All clinical decisions, including whether diagnostic imaging, cleanings, or other services are necessary, are determined solely by the treating dental professional.

Promotional rewards are not contingent upon any specific dental procedure or treatment.

Eligibility is based on attendance at an initial visit and completion of any diagnostic or preventive services determined to be clinically necessary by the treating Provider.

HealthX does not require, recommend, or incentivize specific treatments.

6.3 Reward Eligibility Requirements

To qualify for a promotional reward, users must:

  • be a new patient to the selected Provider;

  • book through HealthX or an authorized HealthX channel; and

  • attend an initial new patient visit.

HealthX may verify visit attendance directly with the Provider when required.

HealthX reserves the right to deny rewards in cases of fraud, misrepresentation, ineligible activity, technical error, or suspected abuse.

6.4 One Reward Per Patient Limitation

Unless otherwise expressly stated in writing by HealthX:

  • rewards are limited to one per patient;

  • rewards may be limited to one per household where fraud or duplicate use is suspected; and

  • rewards may be denied if duplicate accounts, duplicate submissions, or other abuse is detected.

HealthX reserves sole discretion to determine reward eligibility.

6.5 Proof of Visit Verification and Upload Requirements

HealthX may request proof of visit documentation showing:

  • patient name,

  • clinic name,

  • visit date, and

  • confirmation of appointment attendance.

HealthX does not require submission of clinical or diagnostic documentation.

Users must not upload:

  • dental X-rays or radiographic images,

  • clinical treatment notes,

  • treatment plans,

  • diagnostic reports, or

  • insurance documentation showing procedure-level clinical details.

HealthX may delete prohibited content if identified.

6.6 Third-Party Form and Data Processing Providers (Including Jotform)

HealthX may use third-party form and data processing providers, including Jotform, to collect and store verification submissions.

By submitting documentation, you acknowledge that:

  • your submission may be processed and stored by third-party service providers; and

  • HealthX selects vendors that maintain commercially reasonable security safeguards.

HealthX does not authorize third-party processors to use submitted data for advertising or unrelated purposes.

6.7 Data Minimization and Health Information Position

HealthX does not collect, store, or require:

  • clinical treatment records,

  • diagnostic findings,

  • imaging records, or

  • treatment plans.

If such information is submitted, HealthX will take reasonable steps to delete it when identified.

HealthX operates as a marketing and technology platform and is not a health information custodian.

6.8 Data Retention and Deletion

Verification documentation is retained only as long as reasonably necessary for:

  • reward verification,

  • fraud prevention, and

  • legal compliance.

HealthX may delete verification documents after a commercially reasonable retention period unless longer retention is required by law.

6.9 Third-Party Reward Providers and Gift Card Vendors

Promotional rewards may be issued through independent third-party reward providers.

Gift cards are subject to the issuing vendor’s terms and conditions.

HealthX is not affiliated with, sponsored by, or endorsed by any gift card issuer or merchant unless explicitly stated.

6.10 No Control Over Gift Card Vendors

HealthX is not responsible for:

  • gift card balances,

  • expiration dates,

  • merchant acceptance,

  • vendor outages or system failures,

  • replacement policies, or

  • unauthorized use after delivery.

6.11 Third-Party Terms Apply

Use of any gift card is governed by the issuing vendor’s terms and conditions. Users are responsible for reviewing vendor terms.

6.12 Reward Substitution Rights

HealthX reserves the right to:

  • substitute reward vendors,

  • substitute reward types,

  • modify reward delivery methods, or

  • cancel rewards in cases of fraud, abuse, technical error, or program changes.

6.13 Email Delivery and Digital Fulfillment Disclaimer

HealthX is responsible only for initiating reward fulfillment through its designated reward provider.

HealthX is not responsible for:

  • email delivery failures,

  • spam filtering,

  • incorrect email addresses provided by users,

  • user mailbox storage limits, or

  • deleted or lost reward emails after delivery.

Users are responsible for ensuring accurate contact information is provided.

6.14 Chargebacks, Refunds, and Reward Clawback

If a Provider refund, chargeback, insurance reversal, or payment dispute occurs relating to the qualifying visit, HealthX reserves the right to:

  • cancel reward eligibility,

  • recover issued rewards,

  • offset reward value against future promotions, and/or

  • suspend user eligibility for future promotions.

6.15 Fraud Prevention and Enforcement

HealthX reserves the right to:

  • request additional verification,

  • verify attendance with Providers, and/or

  • deny rewards if documentation appears altered, incomplete, inconsistent, or otherwise suspicious.

Submission of falsified documentation may result in account suspension, loss of reward eligibility, and legal action where appropriate.

6.16 No Cash Value and Transfer Restrictions

Promotional rewards have no cash value except where required by law.

Rewards may not be transferred, resold, or exchanged unless permitted by HealthX.

6.17 Reward Availability

Reward availability may vary and is not guaranteed at all times. HealthX may modify or discontinue rewards without notice.


7. Advertising and Analytics

HealthX may use advertising and analytics tools to measure website usage and improve marketing performance.

HealthX does not share with advertising or marketing platforms:

  • clinical information,

  • treatment details,

  • diagnostic data, or

  • appointment reasons.


8. Privacy

Your use of the Platform is also subject to our Privacy Policy: [LINK TO PRIVACY POLICY].

You represent and warrant that any information you submit is accurate and that you have the right to submit it, including any required consents.


9. Prohibited Conduct

You agree not to:

  • use the Platform for unlawful purposes;

  • submit false, misleading, or fraudulent information;

  • attempt to gain unauthorized access to systems or accounts;

  • interfere with Platform security or operation;

  • upload prohibited content (including clinical records or X-rays) as described in these Terms; or

  • violate any applicable laws, regulations, or professional rules.


10. Intellectual Property

The Platform, including all content, branding, text, graphics, logos, interfaces, and software, is owned by HealthX or its licensors and protected by intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works, or exploit any Platform content without our prior written consent, except as permitted by law.


11. Third-Party Websites and Services

The Platform may link to third-party websites, tools, or services (including Providers, scheduling tools, reward vendors, and form processors). HealthX is not responsible for third-party content, policies, or practices.

Your use of third-party services is governed by their terms and policies.


12. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

HEALTHX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

HEALTHX DOES NOT WARRANT ANY OUTCOME FROM ANY PROVIDER OR DENTAL SERVICE.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHX’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED CAD $100 OR THE AMOUNT YOU PAID TO HEALTHX IN THE LAST 12 MONTHS (IF ANY), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.


14. Indemnification

You agree to defend, indemnify, and hold harmless HealthX and its directors, officers, employees, contractors, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Platform,

  • your submissions or uploads,

  • your violation of these Terms, or

  • your violation of any law or third-party rights.


15. Suspension and Termination

HealthX may suspend or terminate your access to the Platform at any time, with or without notice, if we reasonably believe:

  • you violated these Terms,

  • fraud or abuse occurred,

  • your activity creates risk for HealthX, Providers, or users, or

  • required by law.


16. Arbitration, Class Action Waiver, and Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding arbitration and not in court, except that either party may seek injunctive or equitable relief for misuse of intellectual property or unauthorized access.

To the maximum extent permitted by law, you agree that disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

If arbitration or class action waivers are not enforceable in your jurisdiction, then those portions will apply only to the extent enforceable.

Location: Ontario, Canada unless required otherwise by law.


17. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.


18. Changes to These Terms

HealthX may update these Terms from time to time. Changes take effect when posted on the Platform with an updated Effective Date.

Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.


19. Severability

If any provision of these Terms is found unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.


20. Entire Agreement

These Terms (and any policies referenced, including the Privacy Policy) constitute the entire agreement between you and HealthX regarding the Platform and supersede any prior agreements or understandings.
